
Choice of legal form of business

Choosing a name for the company
The company name should be checked in several databases, including Lithuanian, European and international databases. It should not coincide with already registered companies or trademarks. It is recommended to prepare several variants and consult us.

Determination of capital structure
Lithuanian laws establish requirements for authorized capital for all forms of organizations. For example, for UAB it is necessary to determine the capital structure, including the number of shares and their nominal value.

Preparation of founding documents
In order to establish a company, it is necessary to prepare founding documents such as articles of association or regulations, as well as minutes of the governing body (depending on the chosen form of organization). The requirements for these documents are set out in the Law on Joint Stock and Small Companies of the Republic of Lithuania. The articles of association must specify the activities of the company.

Company’s legal address in Lithuania
A company is not required to operate at a registered office, but it must have such an address in Lithuania in order to be registered and will require the written consent of the owner of the premises. A company may use a different address to conduct its business, but it must be notified by submitting the appropriate form. We can also offer the service of providing a legal address.

Shareholders’ information
To register a company, copies of the passports of the shareholders (if they are individuals), their addresses, contact telephone numbers and e-mail addresses must be provided. If there are several shareholders, information on the percentage distribution of shares among them will be required. For legal entities-shareholders must provide an extract from the Register, Articles of Association, a copy of the passport of the director, as well as his contact details.

To register a company, you must provide a copy of the director’s passport, address, telephone number and e-mail address.

Formalization of the founding act
The next step is to draw up a memorandum of association (contract), which must contain all the necessary and legally required provisions.

Formation of share capital
Opening a savings account in a bank to deposit the authorized capital is the next step. The amount of capital depends on the chosen legal form of the company.

Company registration at the Center of Registers
The next step is to complete and submit all the required documents to register the company at the Center of Registers.

Obtaining registration documents
After successful registration, you will be issued with official documents such as an extract from the register and a certificate of incorporation of the company.

Registration with state authorities
After registering a company at the Center of Registers, it should be registered with the Lithuanian Tax Service (VMI) and the Lithuanian Social Insurance System (Sodra).

Opening a bank account
